This website, currently located on the Internet at http://www.seniorsa2z.com, and its related functions, facilities and services (the "Site") is operated and maintained by Seniors A2ZSM, LLC (“Seniors A2Z”).  By using the Site, you (the "User") agree to use it in strict accordance with, and to be bound by, all of the terms and conditions contained in these Terms of Use (the "Terms").  Please read these Terms carefully before accessing or using the Site.

Your use or access of the Site constitutes your agreement to be bound by these Terms.

Seniors A2Z may choose to modify the Terms from time to time, without notice.  Any modifications to these Terms will be immediately effective upon their posting and as such, your continued use of the Site following any modification of these Terms shall be conclusively deemed an acceptance of any modification.  Your only right or remedy with respect to any dissatisfaction with any modification made pursuant to this provision, or any policies or practices of Seniors A2Z in providing the Site, is to cease use of the Site.

Description of the Site
The Site is intended to provide Users with easy access to information about resources and services for seniors.  Seniors A2Z does not provide any services directly to seniors themselves.  Rather, it serves solely as a public convenience, providing a comprehensive index of like-oriented resources and service providers.

Proprietary Materials
The Site is protected by copyright pursuant to U.S. copyright laws, international treaties and other copyright laws.  The Site contains copyrighted material, trademarks and other proprietary information of Seniors A2Z and others (collectively "Proprietary Material"), which may include, but shall not be limited to: text, software, photos, video, graphics, images, music and sound.  User agrees not to modify, publish, copy, transmit, participate in the transfer or sale of, create derivative works of, or in any way exploit, in whole or in part, any Proprietary Material without the written authorization of the applicable owner of the relevant Proprietary Material.

Permission to use material from the Site for personal, non-commercial purposes without a fee is hereby granted.

Limitations on Liability and Remedies
SENIORS A2Z IS NOT AND SHALL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING FROM THE USE OF OR THE INABILITY TO USE THE SITE.  THIS DISCLAIMER OF LIABILITY INCLUDES, BUT IS NOT LIMITED TO, ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION, TRANSMISSION OR DELIVERY, COMPUTER VIRUS, COMMUNICATIONS LINES FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF OR USE OF RECORDS, PROGRAMS OR FILES, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE OR UNDER ANY OTHER CAUSE OF ACTION.

You understand and agree that: Seniors A2Z is not a party to, third party beneficiary of, or a guarantor of performance with respect to any transactions between you and any third party with which you may make contact through the Site. ACCORDINGLY, YOU HEREBY WAIVE, AND SHALL WAIVE, ANY CLAIMS YOU MIGHT AT ANY TIME HAVE AGAINST SENIORS A2Z THAT ARISE OUT OF OR RESULT FROM ANY TRANSACTION BETWEEN YOU AND ANY THIRD PARTY WITH WHICH YOU MAY HAVE MADE CONTACT THROUGH THE SITE.

In no event shall Seniors A2Z be liable for any indirect, special, incidental, punitive or consequential damages, including lost profits, arising out of the use or performance of the Site, even if it has been advised of the possibility of same

Termination
Seniors A2Z may terminate User's right to access the Site at any time, with or without cause, in its absolute discretion and without notice. 

Right to Modify the Site
Seniors A2Z may at any time, without notice or liability, change or eliminate any content or feature of the Site, or restrict the use of any portion of the Site.  Your only right or remedy with respect to any dissatisfaction with any service-related change or elimination is to cease use of the Site.

General
These Terms are governed by the laws of the State of New Jersey and by the federal laws of the United States, without reference to conflict of laws principles. The federal and state courts within Mercer County, New Jersey shall have exclusive jurisdiction to adjudicate any dispute arising out of or relating to these Terms, and User hereby expressly consents to such personal jurisdiction. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. The failure of Seniors A2Z to act with respect to a breach by a User does not waive Seniors A2Z's right to act with respect to subsequent or similar breaches. These Terms (including the Privacy Policy) sets forth the entire understanding and agreement between Seniors A2Z and User with respect to the subject matter hereof and supersedes any prior understandings or agreements with respect to such subject matter.
